Terms of Service

1. Definitions

"Account" means the user account you create to access the Service.

"Agent" means the mttrly software agent installed on your server(s) that executes monitoring, diagnostic, and remediation actions.

"Authorized User" means any individual granted access to the Service under your Account, including team members on applicable plans.

"Customer Data" means any data, content, or information submitted to or collected by the Service from your servers, including but not limited to logs, metrics, configuration data, and command outputs.

"Playbook" means a predefined or custom set of automated actions (diagnostic recipes, remediation steps) that the Agent may execute on your servers.

"Server" means a physical or virtual machine, container, or cloud instance connected to the Service via the Agent.

"Subscription" means your selected pricing plan (Watchdog, Deployment Bro, Deployment Crew, or Enterprise) and associated payment terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

You must provide accurate and complete information when creating an Account. You are responsible for maintaining the confidentiality of your Account credentials, including API keys, SSH keys, and access tokens.

You are responsible for all activities that occur under your Account, including actions taken by Authorized Users and the Agent on your behalf.

You must promptly notify us at security@mttrly.com if you become aware of any unauthorized access to your Account.

4. The Service

Description. mttrly is an AI-powered server management and incident response platform that operates through messaging applications (Telegram, Slack, Discord, WhatsApp). The Service monitors server health, diagnoses issues, and can execute automated remediation actions on connected servers.

Server Access. By connecting a Server to the Service, you grant the Agent permission to:

  • Monitor system metrics (CPU, RAM, disk, network, processes)
  • Read log files within configured scope
  • Execute pre-approved commands and Playbooks
  • Send alerts and reports to your configured messenger(s)

Approval Workflow. For potentially destructive actions, the Service implements a dry-run → approve → apply workflow. You retain final control over whether to authorize such actions. Certain non-destructive actions (e.g., service restart, as configured by you) may be set to auto-approve.

Service Tiers. The features, server limits, and support levels vary by Subscription tier. Current tiers and their specifications are described on our Pricing page and may be updated from time to time.

Availability. We target high availability but do not guarantee uninterrupted Service. Scheduled maintenance will be communicated in advance where practicable.

5. Subscriptions and Payments

Free Tier. The Watchdog plan is available at no charge, subject to the limitations described on the Pricing page.

Paid Plans. Paid Subscriptions (Deployment Bro, Deployment Crew, Enterprise) are billed monthly in advance via Stripe. Prices are listed in US Dollars (USD) and are exclusive of applicable taxes.

Billing Cycle. Your Subscription renews automatically on a monthly basis unless cancelled before the next billing date.

Additional Servers. Servers exceeding the base allocation of your plan are billed at $15/month per additional server, prorated from the date of addition.

Price Changes. We may adjust pricing with at least 30 days' prior notice. Continued use of the Service after the effective date of a price change constitutes acceptance.

Payment Processing. All payments are processed securely through Stripe. We do not store your full credit card information on our servers. By providing payment information, you authorize Stripe to charge your payment method for all fees incurred.

Taxes. You are responsible for any applicable taxes, levies, or duties imposed by taxing authorities. We will collect taxes where legally required.

Failed Payments. If a payment fails, we will attempt to charge your payment method again. After repeated failures, we may downgrade your Account to the free tier or suspend access to paid features.

6. Refunds and Cancellation

Please refer to our separate Refund Policy for details on refund eligibility, timelines, and procedures.

You may cancel your paid Subscription at any time through your Account settings or by contacting support@mttrly.com. Cancellation takes effect at the end of the current billing period.

Upon cancellation, you retain access to paid features until the end of the billing period. After that, your Account reverts to the Watchdog (free) tier.

We reserve the right to terminate or suspend your Account immediately if you breach these Terms.

7. Your Responsibilities

Server Ownership. You represent and warrant that you own or have proper authorization to connect each Server to the Service.

Access Credentials. You are solely responsible for the security of SSH keys, API tokens, and other credentials used by the Agent. We recommend using dedicated service accounts with minimal required privileges (principle of least privilege).

Configuration. You are responsible for properly configuring the Agent's permissions, auto-approve rules, and allowed command lists. Misconfiguration that leads to unintended actions is your responsibility.

Backups. The Service is not a backup solution. You are responsible for maintaining independent backups of your data and configurations.

Compliance. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including data protection laws applicable to any personal data processed on your servers.

8. Acceptable Use

You agree not to use the Service to violate any applicable law or regulation, manage servers used for illegal activities, attempt to gain unauthorized access to any system, reverse engineer the Service, or use it to develop a competing product.

9. Intellectual Property

Our IP. The Service, including its software, design, documentation, Playbooks, and all related intellectual property, is owned by Mobness Ltd and protected by applicable copyright, trademark, and other intellectual property laws.

Your Data. You retain all rights in and to your Customer Data. By using the Service, you grant us a limited, non-exclusive license to access, use, and process your Customer Data solely for the purpose of providing and improving the Service.

Feedback. If you provide us with feedback, suggestions, or ideas, you grant us an unrestricted, irrevocable, perpetual license to use and incorporate such feedback without compensation.

10. Data Protection and Privacy

Our collection, use, and protection of personal data is described in our Privacy Policy.

Customer Data (server logs, metrics, configurations) is processed in the European Union and stored in compliance with applicable data protection regulations.

We implement appropriate technical and organizational security measures to protect Customer Data.

11. Third-Party Services

The Service integrates with third-party platforms (Telegram, Slack, Discord, WhatsApp, GitHub) subject to those platforms' own terms and conditions. We are not responsible for third-party service availability or changes.

Your use of the BYOK (Bring Your Own Key) feature for AI providers (OpenAI, Anthropic) is subject to those providers' terms. We are not a party to your agreements with AI providers.

Payment processing is handled by Stripe Inc. Your use of Stripe is subject to the Stripe Services Agreement.

12. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will detect all incidents, prevent all downtime, or successfully resolve all issues. The Service is designed to assist with, not replace, professional server administration judgment.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES; SERVER DOWNTIME OR DATA LOSS RESULTING FROM AGENT ACTIONS; COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES.

Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by our negligence, or any liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Mobness Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, actions taken by the Agent on your servers as configured by you, or your violation of any third-party rights.

14. Term and Termination

These Terms remain in effect as long as you have an Account or use the Service. We may suspend or terminate your Account at any time for breach of these Terms.

Upon termination: your access to the Service will cease immediately; the Agent will be deactivated on your servers; we will retain your Customer Data for 30 days, after which it will be deleted unless legally required to retain; you remain liable for any outstanding fees.

Sections 9, 12, 13, and 15–17 survive termination.

15. Dispute Resolution

Governing Law. These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law principles.

Informal Resolution. Before filing any formal claim, you agree to first contact us at legal@mttrly.com and attempt to resolve the dispute informally within 30 days.

Jurisdiction. Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Limassol, Cyprus.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via email or a prominent notice on the Service.

Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree to the changes, you must stop using the Service and cancel your Subscription.

17. General Provisions

These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Mobness Ltd regarding the Service.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not waive our right to enforce it later.

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

We are not liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power or internet failures, or third-party service disruptions.
